Introduction
This Seller Agreement (“Agreement”) is entered into between VKERT Inc. (“VKERT,” “we,” “us,” or “our”) and the individual or business entity (“Seller,” “you,” or “your”) registering for a seller account on https://vkert.com (the “Site”).
By creating a seller account, checking the box to accept this Agreement, or using VKERT’s seller services, you acknowledge that you have read, understood, and agree to be bound by the following terms.
1. Relationship Between VKERT and Seller
- The Seller is an independent business and not an employee, partner, or agent of VKERT.
- VKERT provides an online platform where Sellers can list and sell products from VKERT’s master inventory to customers.
- VKERT manages fulfillment, logistics, payments, and customer service on behalf of Sellers.
- This Agreement does not create any partnership, joint venture, or franchise relationship.
2. Seller Eligibility
To participate as a VKERT Seller, you must:
- Be 18 years or older and legally able to enter into contracts.
- Provide valid registration details including name, email, phone number, and identification.
- Agree to VKERT’s Seller Policy, Terms & Conditions, Privacy Policy, and Return & Refund Policy.
- Complete any required KYC verification before receiving payouts.
VKERT reserves the right to approve or decline applications at its sole discretion.
3. Seller Obligations
The Seller agrees to:
- Maintain accurate account information and promptly update any changes.
- Use the $5,000 purchase credit solely for legitimate business purposes within VKERT’s platform.
- Set competitive product prices within VKERT’s approved range.
- Comply with all laws, including those related to taxation, consumer protection, and advertising.
- Avoid fraudulent, misleading, or deceptive business practices.
- Provide timely responses to VKERT and customers when contacted.
Failure to uphold these obligations may result in suspension or permanent termination of the seller account.
4. VKERT Responsibilities
VKERT agrees to:
- Provide sellers with access to VKERT’s master inventory system.
- Handle product storage, packaging, shipping, and returns.
- Process customer orders, payments, and refunds.
- Credit seller accounts with profits after deducting product costs and the 5% shared ad contribution.
- Maintain secure systems for transaction processing and user data protection.
5. Fees, Payouts & Ad Fund
- VKERT does not charge listing or monthly subscription fees.
- A 5% deduction from each completed order contributes to the Shared Advertising Fund used for group marketing campaigns benefiting all sellers.
- Sellers receive profits (after deductions) in their VKERT Wallet, payable weekly once the order’s return period ends.
- VKERT may temporarily withhold payouts in cases of refund disputes, fraud investigation, or policy violations.
6. Intellectual Property & Content License
- Sellers may upload a store name, logo, and descriptive content for use on VKERT.
- By doing so, the Seller grants VKERT a non-exclusive, royalty-free, worldwide license to use such content for marketing, listing, and promotional purposes.
- Sellers must not infringe on any third-party intellectual property rights.
7. Returns, Refunds & Customer Experience
VKERT administers all product returns and customer refunds in accordance with the Return & Refund Policy.
VKERT may deduct return-related costs from the Seller’s wallet in cases of:
- Defective, inaccurate, or misleading listings.
- Excessive return rates or policy breaches.
VKERT reserves the right to review or close seller accounts showing consistent customer dissatisfaction.
8. Compliance and Taxes
- Sellers are responsible for reporting and paying all applicable federal, state, and local taxes on their earnings.
- VKERT may collect and remit sales tax where required by law.
- Sellers agree to provide accurate taxpayer information for 1099 or equivalent reporting
9. Confidentiality
Both parties agree to maintain the confidentiality of all non-public business, financial, or technical information obtained through VKERT’s platform.
This obligation survives the termination of the Agreement.
10. Term & Termination
This Agreement remains effective from the date of acceptance until terminated by either party.
VKERT may terminate or suspend your seller account immediately if:
- You violate this Agreement or any VKERT policy.
- Fraud, abuse, or misuse of the $5,000 credit system is detected.
- Required documentation or verification is not completed.
Upon termination:
- Your store and listings will be unpublished.
- Outstanding credits may be withheld for up to 90 days for final reconciliation.
- You must discontinue all use of VKERT’s platform and trademarks.
11. Limitation of Liability
To the fullest extent permitted by law:
- VKERT shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the platform.
- VKERT’s total aggregate liability under this Agreement shall not exceed the amount earned by the Seller in the previous three (3) months preceding the claim.
12. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, U.S.A.
Any dispute or claim arising under this Agreement shall be resolved exclusively in the state or federal courts located in Pennsylvania.
Both parties waive any right to trial by jury or participation in class-action proceedings.
13. Amendments
VKERT reserves the right to modify this Agreement or related policies at any time by posting updated terms on the Site.
Your continued participation as a seller after such updates constitutes acceptance of the modified terms.
14. Acknowledgment and Acceptance
By checking the box marked “I Agree to the Seller Agreement and Policies” during registration, you acknowledge that you:
- Have read and understood this Agreement and all related policies.
- Accept and agree to be bound by all its terms.
- Are legally authorized to enter into this Agreement on behalf of yourself or your business.
